Master Subscription Agreement
These terms govern your use of the Zervice platform and services. Effective Date: June 15, 2024.
1. Agreement to Terms
By accessing or using Zervice (the "Service"), you agree to be bound by these Master Subscription Agreement terms. Zervice is a product of Zervice Technologies Inc. ("Zervice", "we", "us", or "our"). This Agreement governs your acquisition and use of our Services. If you register for a free trial or for free services, the applicable provisions of this Agreement will also govern those Services.
2. Definitions
"Service Data" means electronic data, text, messages, communications or other materials submitted to and stored within the Service by You, Agents and End-Users in connection with Your use of such Service. "Account Information" means personal data about You or Your Agents that We collect and process in connection with the creation and management of Your Account.
3. Provision of Services
We will (a) make the Services and Service Data available to You pursuant to this Agreement and the applicable Order Forms; (b) provide standard support for the Services to You at no additional charge; and (c) use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week, except for planned downtime.
4. Data Privacy and Security
We will maintain appropriate administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of Service Data. Those safeguards will include, but will not be limited to, measures for preventing access, use, modification or disclosure of Service Data by Our personnel except to provide the Services.
5. Use of Services and Service Data
You are responsible for Agents' and End-Users' compliance with this Agreement and for the accuracy, quality and legality of Service Data. You will use commercially reasonable efforts to prevent unauthorized access to or use of Services, and notify Us promptly of any such unauthorized access or use.
6. AI-Powered Features
Zervice uses artificial intelligence and machine learning to provide support automation. You understand that AI-generated content may contain inaccuracies and should be reviewed. We do not use Your Service Data to train models for other customers without Your explicit, separate consent.
7. Fees and Payment
You will pay all fees specified in Order Forms. Except as otherwise specified herein or in an Order Form, (i) fees are based on Services and Content subscriptions purchased and not actual usage, (ii) payment obligations are non-cancelable and fees paid are non-refundable.
8. Term and Termination
This Agreement commences on the date You first accept it and continues until all subscriptions hereunder have expired or have been terminated. A party may terminate this Agreement for cause (i) upon 30 days written notice to the other party of a material breach if such breach remains uncured at the expiration of such period.
9. Limitation of Liability
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF EACH PARTY TOGETHER WITH ALL OF ITS AFFILIATES ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID BY YOU AND YOUR AFFILIATES HEREUNDER FOR THE SERVICES GIVING RISE TO THE LIABILITY IN THE TWELVE MONTHS PRECEDING THE FIRST INCIDENT OUT OF WHICH THE LIABILITY AROSE.
10. Governing Law
This Agreement shall be governed exclusively by the internal laws of the Republic of Singapore, without regard to its conflicts of laws rules. The state and federal courts located in Singapore shall have exclusive jurisdiction to adjudicate any dispute arising out of or relating to this Agreement.
